End User Licence Agreement (EULA)

1. Licence grant
Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Execenta service for your internal business purposes during the subscription term.
2. Restrictions
You may not copy, modify, distribute, reverse engineer, or create derivative works of the service (except as permitted by applicable law), nor use it to build a competing product or for any unlawful purpose.
3. Intellectual property
We retain all rights in the Execenta platform, branding, and materials. You retain rights in your data; you grant us the licence necessary to operate the service (e.g. to process and display your data within Execenta).
4. Termination
We may suspend or terminate access for breach of these terms or for non-payment. You may stop using the service at any time. On termination, your right to access the service ceases; we will handle data as described in our Privacy Policy.
5. Warranty disclaimer and limitation of liability
Warranty disclaimer. The service is provided “as is” and “as available”. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. No advice or information from us shall create any warranty not expressly stated here.
Limitation of liability. To the maximum extent permitted by applicable law, Execenta and its affiliates, and their respective suppliers and licensors, shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business opportunity) arising out of or in connection with the service or this EULA. Except where prohibited by law, our total aggregate liability shall not exceed the amount you paid us for the service in the twelve (12) months preceding the claim. Nothing in this EULA excludes or limits liability for death or personal injury caused by negligence, fraud, or any matter that cannot be excluded or limited under applicable law.
